End User License Agreement

This Agreement is concluded between you and myOS Inc. only, and not with Apple Inc. ("Apple"). myOS Inc., not Apple, is solely responsible for the Application and its content. This Agreement does not provide for usage rules for the Application that conflict with the Apple Media Services Terms and Conditions, and myOS Inc. acknowledges that it has had the opportunity to review those terms.

myOS Inc. grants you a non-transferable licence to use the Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing where those features are enabled.

This licence is personal to you. You may not distribute or make the Application available over a network where it could be used by multiple devices at the same time, and you may not transfer, redistribute, or sublicense the Application.

myAgents lets you create, configure, and schedule AI agents that act on your behalf. Agents can generate text, images, audio, and documents; read and create calendar events; send and receive messages through channels you connect; work with code repositories; and call third-party services you authorise.

Two consequences follow, and you accept both:

• Agent actions are your actions. Anything an agent does under your account is attributed to you and to your organisation, whether or not you reviewed it first. You are responsible for supervising the agents you configure, particularly agents that run on a schedule or act on external services. Actions already taken by an agent, such as a message sent or a calendar event created, cannot be reversed by myOS Inc.
• AI output can be wrong. Output produced by AI models may be inaccurate, incomplete, biased, or unsuitable for your purpose. You are solely responsible for reviewing and verifying any output before relying on it or sharing it with others. Do not use the Application as the sole basis for medical, legal, financial, or other decisions that require professional judgement.

You agree not to use the Application to break the law, to infringe anyone's rights, to send unsolicited bulk messages, to access systems or accounts you are not authorised to access, or to circumvent the safety controls built into the Application or its underlying AI providers. The full acceptable use policy is part of our Terms of Service.

The Application offers auto-renewable subscriptions purchased through your Apple ID:

• myAgents Starter, one seat, billed monthly.
• myAgents Pro, one seat, billed monthly.

It also offers non-subscription credit packs, which are consumable in-app purchases used to pay for agent activity beyond the allowance included with your subscription. Credit packs do not expire on a fixed date, are consumed as your agents run, and are non-refundable once purchased except where the law requires otherwise.

Credits are denominated in United States dollars. Credit balances, spend ceilings, and usage figures shown in the Application are USD amounts, whatever currency Apple charges you in. Apple charges you in your local currency at its own price points, so the amount you pay for a credit pack will not always equal the USD credit value deposited into your balance.

Prices are shown in the Application in your local currency before you confirm a purchase. Payment is charged to your Apple ID at confirmation. Subscriptions renew automatically at the same price for the same period unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the current period ends.

You can manage or cancel a subscription in your Apple ID account settings after purchase, and cancellation takes effect at the end of the current paid period. Deleting the Application does not cancel a subscription. Purchases made through the App Store are handled by Apple, and refunds for them are governed by the Apple Media Services Terms and Conditions.

Welcome credit. New accounts receive a one-time welcome credit, currently USD 10, deposited into the account's credit balance. It is not a free trial period. The welcome credit does not expire, and buying a subscription does not consume, reduce, or cancel it: whatever is left stays in your balance and can still be spent on agent activity. It has no cash value and is not redeemable or refundable for money. We may change the welcome credit amount, or stop offering it, for accounts created in the future. If an introductory offer or free trial is ever made available for a subscription through the App Store, its terms are shown at the point of purchase and Apple's rules for such offers apply.

myOS Inc. is solely responsible for providing maintenance and support for the Application, as specified in this Agreement or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services for the Application. Support enquiries should go to support@myagents.ca.

myOS Inc. is solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application. As between myOS Inc. and Apple, any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of myOS Inc.

EXCEPT FOR WARRANTIES THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MYOS INC. DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT AUTOMATED AGENT ACTIONS WILL BE FREE FROM UNINTENDED CONSEQUENCES.

myOS Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and use of it, including: (a) product liability claims; (b) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Application's use of any framework that handles health or fitness data. This Agreement does not limit myOS Inc.'s liability beyond what applicable law permits.

In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, myOS Inc., not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of that claim.

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

You must comply with applicable third-party terms of agreement when using the Application. When you connect a third-party service such as Gmail, Google Calendar, WhatsApp, or GitHub, your use of that service through the Application is also governed by that service's own terms and privacy policy, and you represent that you have the right to grant the access you authorise. myOS Inc. is not responsible for the practices, availability, or content of any third-party service.

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of it.

myOS Inc. collects and uses personal data as described in the myAgents Privacy Policy. We do not permit our AI model providers to use your personal data or workspace content to train their models.

This Agreement is effective until terminated by you or by myOS Inc. Your rights under it terminate automatically if you fail to comply with any of its terms. You may terminate it at any time by deleting the Application and closing your myAgents account. myOS Inc. may suspend or terminate your access if you breach this Agreement or our Terms of Service. Sections 3, 6, 7, 8, 12, and 15 survive termination.

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of law principles, except where the mandatory consumer protection laws of your country of residence provide otherwise. Nothing in this Agreement limits any statutory consumer right you have that cannot be waived by agreement.

This Agreement, together with the myAgents Terms of Service and the myAgents Privacy Policy, is the entire agreement between you and myOS Inc. regarding the Application. Where this Agreement and the Terms of Service conflict as to your use of the Application obtained through the App Store, this Agreement governs. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect.
