Terms of Service

myAgents is a platform that lets you design, configure, and run teams of AI agents that act on your behalf. Agents may generate text, images, audio, and documents; create and read calendar events; send and receive messages through connected channels; interact with code repositories; and call third-party APIs you authorize. The specific capabilities available to you depend on your subscription plan and the integrations you connect.

myAgents uses large language models and other AI systems provided by third parties including Anthropic, OpenAI, and Google to power agent functionality. The availability, quality, and behavior of these models may change over time as providers update their systems. We will make commercially reasonable efforts to notify you of material changes.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide during registration is accurate, current, and complete.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and that your agreement to these Terms will be treated as the organization's agreement.

You are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately at support@myagents.ca if you suspect unauthorized access.

Each account must be associated with a unique email address. You may not create multiple accounts to circumvent usage limits, suspensions, or other restrictions.

You may use the Service only in compliance with these Terms and all applicable laws and regulations. The following usage standards apply to all content you submit, all agents you configure, all tasks you instruct agents to perform, and all outputs you generate or distribute using the Service.

Because myAgents agents can take real-world actions — sending messages, creating calendar events, writing to repositories, generating and distributing media — you are responsible for every action your agents take on your behalf. Agent actions are attributed to you and your organization.

Output from AI models can be inaccurate, incomplete, biased, or otherwise unreliable. myAgents does not warrant the accuracy, completeness, or fitness for purpose of any content generated by your agents. You are solely responsible for reviewing, verifying, and taking responsibility for all AI-generated outputs before relying on them or distributing them to others.

Ownership.As between you and myAgents, you retain ownership of the inputs you provide and the outputs generated for your account, subject to the underlying model providers' terms and applicable law. You grant myAgents a limited, non-exclusive license to use your inputs and outputs solely to provide and improve the Service as described in our Privacy Policy.

No training on your data. We do not instruct our AI model providers to use your Personal Data or workspace content to train their models.

Model availability. AI models and their capabilities may change or become unavailable as providers update their systems. We will make commercially reasonable efforts to maintain equivalent functionality but do not guarantee the availability of any specific model or model version.

The Service allows you to connect third-party services including Google Calendar, WhatsApp Business, and GitHub ("Third-Party Services"). By connecting a Third-Party Service, you authorize myAgents to access and act on that service on your behalf to the extent necessary to fulfill your agents' tasks.

• Your use of any Third-Party Service is governed by that service's own terms of service and privacy policy. myAgents is not responsible for the practices, availability, or content of any Third-Party Service.
• You represent and warrant that you have the right to grant myAgents the access you authorize for each connected service.
• You may disconnect any integration at any time through your team settings. Upon disconnection, myAgents will cease accessing that service on your behalf; however, actions already taken by your agents (e.g. calendar events created, messages sent) are not reversible by myAgents.

Subscription Seats.Access to the Service requires a paid subscription, billed monthly at the per-seat rate displayed at the time of purchase. "Seats" include users with Owner, Admin, or Member roles; Viewer-role users are not counted as seats. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Usage Credits.Agent actions that consume AI model compute are billed against your organization's credit balance at the rates displayed in your account settings. Credits may be purchased in advance (top-ups) or through automatic recharge when your balance falls below a configurable threshold. All credit purchases are charged immediately and are non-refundable except where required by applicable law.

Spend Controls. You may configure a daily spend ceiling for your organization. When the ceiling is reached, agent execution is paused until the ceiling resets. myAgents is not liable for tasks that fail to complete due to a spend ceiling being reached.

Payment Failures. If a payment fails, we will notify you by email. After a reasonable retry window, continued failure may result in suspension of agent execution until payment is resolved. We are not liable for agent tasks that fail to execute during a suspension period.

Taxes. All prices are exclusive of applicable taxes. You are responsible for any sales tax, GST, HST, VAT, or other taxes applicable to your purchases based on your location.

Changes to Pricing.We may change our pricing at any time. We will provide at least 30 days' notice of price increases before they take effect for existing subscribers.

The Service and its underlying technology are owned by myOS Inc. and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described here.

You retain ownership of your workspace content (agent definitions, work items, conversations, skill files, and other content you create). You grant myAgents a worldwide, non-exclusive, royalty-free license to use, host, store, and process your workspace content solely to provide and improve the Service as described in our Privacy Policy.

If you provide feedback, suggestions, or ideas about the Service, you grant myOS Inc. an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without attribution or compensation.

Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without the other party's prior written consent, except as required by law or as necessary to provide or receive the Service. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party independently develops or receives from a third party without restriction.

By you: You may cancel your subscription and delete your account at any time through your account settings. Upon deletion, your team content will be immediately and irrecoverably removed. Financial ledger records will be retained for audit and tax compliance purposes.

By us: We may suspend or terminate your account at any time, with or without notice, if we have reason to believe you have violated these Terms, if your payment obligations are not met after a reasonable cure period, if required by law, or if continuing to provide the Service poses a legal or reputational risk to myAgents. We will endeavor to provide advance notice where reasonably practicable.

Effect of termination: Upon termination, your right to access and use the Service ceases immediately. Sections 4, 7, 10, 11, 12, 13, and 14 survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYOS INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR THAT AUTOMATED AGENT ACTIONS WILL BE FREE FROM UNINTENDED CONSEQUENCES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MYOS INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF MYOS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL MYOS INC.'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MYOS INC. IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless myOS Inc. and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) the content you submit to or generate through the Service; (d) the actions taken by your agents on your behalf; (e) your violation of any third-party rights; or (f) your violation of any applicable law.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Informal resolution. Before initiating any formal dispute, you agree to contact us at support@myagents.ca and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction. If the dispute is not resolved informally, each party submits to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Class action waiver. To the extent permitted by law, you waive any right to bring claims against myOS Inc. as a plaintiff or class member in any purported class, collective, or representative action.

We may update these Terms from time to time. If we make material changes, we will notify you by posting a notice in the Service and/or sending you an email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and myOS Inc. regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force majeure. Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government action, or widespread internet outages.
